NautaDutilh assisted Woningborg with entering into a partnership with French mutual insurer SMABTP. Woningborg and SMABTP will cooperate in the Netherlands in the field of insurance for new-build homes, focusing on broadening and diversifying the service package to participants and customers.

As part of the cooperation, SMABTP has acquired a 50% equity stake in Woningborg. The intended cooperation was announced in January 2023 and after obtaining the necessary regulatory approvals, the transaction has now been formalised and completed.

Woningborg is an organisation for builders and buyers of new-build houses in the Netherlands, in the field of insolvency insurance, damage & repair insurance and quality insurance. Woningborg was founded in 1981 by the trade associations in the construction industry (Koninklijke Bouwend Nederland & WoningbouwersNL) to provide certainty to the buyers of new-build houses. More than 1.1 million houses in the Netherlands have now been built with a Woningborg certificate.

“It has been a great pleasure supporting Woningborg, a long-standing client of our firm, in this strategic transaction. Our combined M&A and financial regulatory efforts to bring this transaction to a successful close provide for another strong testament to NautaDutilh’s M&A in the financial sector offering,” Sven comments.

The NautaDutilh team that assisted Woningborg included (amongst others) Sven Uiterwijk, David den Blaauwen and Alex Draaisma (Financial Law) and Jaap Jan Trommel, Paul Giebels, Ole de Vries and Jorrit van Es (Corporate M&A).
