NautaDutilh is very pleased to have successfully assisted H&M with the establishment of its EUR 2,000,000,000 Euro Medium Term Note Programme. The base prospectus in connection with this Programme was approved by the Central Bank of Ireland on 17 July 2020.
Under the base prospectus, issuers H&M Hennes & Mauritz AB (publ) and H&M Finance B.V. may issue notes up to the amount of EUR 2,000,000,000.
To enable this combination of a Swedish and Dutch issuer, NautaDutilh needed to incorporate H&M Finance B.V.
We worked on this transaction alongside White & Case Advokat AB. Our core transaction team consisted of: Dewi Walian, Annefleur van Oel (Capital Markets) and Edward Rijnhout and Thijs Poelert (Tax), working under the supervision of Petra Zijp.
The Dutch issuer's incorporation was lead by Erik Geerling and Renate Punt-Huizer (Civil Law Notary).
BNP PARIBAS, Commerzbank Aktiengesellschaft, Danske Bank A/S, Skandinaviska Enskilda Bank-en AB (publ) and Standard Chartered Bank acted as Dealers.
