NautaDutilh advised Aon on the carve-out sale process of its personal lines brokerage and managing general agent (MGA) business in the Netherlands to BlackFin Capital Partners, a European private equity firm focusing on the financial services sector.

NautaDutilh advised Aon Netherlands B.V. on the carve-out sale process of its personal lines brokerage and managing general agent (MGA) business in the Netherlands to BlackFin Capital Partners, a European private equity firm focusing on the financial services sector.

The agreement with BlackFin Capital Partners is part of Aon's FutureForward strategy in the Netherlands to further align the firm’s business under its risk capital and human capital capabilities with a focus on the business-to-business market. Upon completion of the transaction on 1 August 2024, Aon will no longer serve private insurance client groups in the Netherlands, with certain exceptions such as expatriate and international student insurance. The strategic alignment in the Netherlands does not affect Aon's global Affinity business.

“Congratulations to Aon, Blackfin and the management of the newly formed entities on closing this transaction", says lead partner Gaike Dalenoord. “We are pleased to have supported Aon in this complex carve-out of a regulated business: from the vendor due diligence to the auction process leading up to the signing, the carve-out preparations and the closing."

The core team was led by Joost Kloosterman and Annefleur van Oel (Corporate M&A), and included Michelle Meevis (Corporate M&A), Cyril Christiaans (Technology), Jules van de Winckel (Notarial Law) and Sven Uiterwijk (Financial Law).
